By electronically signing this agreement the customer hereby agrees to the terms and conditions set forth below; 1. Company is a Corporation, licensed in the state of Florida. 2. Company provides consumer contacts through various marketing sources and methods. 3. Company may provide consumer contacts to the Customer in the following state(s) agreed upon (see order form). 4. This Agreement will remain in existence until the quantity of transfers/minutes/data/leads agreed upon are fulfilled. 5. Customer agrees to provide good and adequate service to the consumers provided by the Company. Failure to do so is not the responsibility of the Company and any information from the consumer obtained by the Customer after contact is the exclusive property of the Customer. 6. Customer must ensure the protection and confidentiality of the consumer’s information and may not be redistributed outside organization of Customer for any reason. Customer is subject to the laws and regulation in the state(s) in which the Customer is licensed to operate. Any change in licensing of Customer is to be provided to the Company in writing within 72 hours. Failure to do so will result in cancellation of this contract by the Company at the company’s discretion. 7. During the term of this agreement, Customer is responsible for notifying the Company in writing or by verbal authorization of any changes in telephone number, email address, fax number or any other means of contact between Company and Customer within 72 hours of said change. 8. There will be no reimbursement or refund of fee for cancellation by the Company due to failure of Customer to comply with provision 6 or 7 of this Agreement. Additionally, if Customer cancels prior to end of the term of this contract, there is no refund or reimbursement of the fee, or any portion thereof. Any cancellation shall be communicated to Customer in writing in order for the cancellation to be effective. 9. Company is not responsible for any communication disruption that could occur during phone calls between the Customer and consumer. 10. Upon execution of this contract, Customer agrees to assume full personal responsibility for performance of Customer’s duties outlined in this contract including payments of fees. 11. Customer acknowledges that no promises, statements, estimates, warranties, conditions, or other inducements either expressed or implied, other than those specifically stated herein, were relied upon in entering into this Agreement. 12. This contract constitutes the entire Agreement between Company and Customer, and is binding upon the original parties, their successors and assigns thereto; however it shall not be assigned without express written consent of both parties. 13. This contract shall be deemed transacted for all purposes in the offices of Your Direct Source, Inc. ,618201 Gulf Blvd. Ste. 406, Redington Shores, FL 33708, on behalf of the Company and shall be construed as binding contract between Company, Higher Response Marketing and Customer under the laws of the State of Florida. The Customer consents and agrees that any legal action relating to this contract shall be brought in Pinellas County, FL. 14. Any provision hereof which may be deemed as unenforceable shall be considered separate, and will in no way invalidate any other provisions of this contract, all of which other provisions shall remain in full force and effect. 15. This transaction is a single one time transaction. This transaction is not ongoing or renewable without the written consent of the Customer.
